These Terms and Conditions ("Agreement") govern your access to and use of the Shortlist platform, website, and services (collectively, the "Platform"), operated by Mulu Fitness, Inc. d/b/a Shortlist ("Shortlist," "we," "us," or "our"). By creating an account, submitting any information, applying for a job, or participating in our referral program, you agree to be bound by this Agreement.
If you do not agree with any part of these terms, you must not use the Platform.
1. Definitions
For the purposes of this Agreement:
- "Job Seeker" means any individual who registers on the Platform to search for, apply to, or be considered for job opportunities.
- "Referrer" means any individual who submits a candidate referral through the Platform in connection with a bounty-eligible job listing.
- "Employer" means a company or organization whose job listings appear on the Platform.
- "Bounty" means a monetary reward offered by an Employer for a successful candidate hire facilitated through the Platform's referral program.
- "Successful Hire" means a candidate who has been offered and accepted employment with an Employer, and who has commenced employment, as confirmed by the Employer.
2. Eligibility
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you have the legal capacity to enter into a binding agreement and that all information you provide is accurate, complete, and current.
3. Job Seeker Terms
3.1 Account Registration
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.
3.2 Candidate Profile & Information
By submitting your profile, resume, or any personal information to the Platform, you grant Shortlist a non-exclusive, royalty-free license to use, store, and share your information with Employers for the purposes of facilitating job matches and applications. You represent that all information you submit is truthful and accurate.
Shortlist acts as an intermediary and does not guarantee that your profile will be reviewed, that you will receive interview requests, or that you will receive any job offer.
3.3 No Guarantee of Employment
USE OF THE PLATFORM DOES NOT GUARANTEE EMPLOYMENT.
Shortlist makes no representations or warranties that any job listing is accurate, that an Employer is actively hiring, or that you will be selected for any position. All hiring decisions are made solely by the relevant Employer, and Shortlist has no liability with respect to those decisions.
3.4 Prohibited Conduct
As a Job Seeker, you agree not to:
- Submit false, misleading, or fraudulent information on your profile or in any application
- Apply for roles you know you are not legally authorized to perform
- Use the Platform to solicit other users or for any commercial purpose
- Attempt to circumvent, disable, or interfere with any security feature of the Platform
4. Referral Program & Bounty Terms
4.1 Overview
Certain job listings on the Platform are designated as "bounty-eligible." For these listings, Shortlist facilitates a referral program through which a Referrer may submit a candidate for consideration in exchange for a portion of the bounty upon a Successful Hire.
4.2 Bounty Split — Important Disclosure
Bounty Distribution:
For every Successful Hire resulting from a referral submitted through the Platform, the total bounty offered by the Employer is split as follows: 80% is paid to the Referrer and 20% is retained by Shortlist as a platform service fee. By participating in the referral program, you acknowledge and agree to this fee structure.
4.3 Eligibility for Bounty Payment
To be eligible for a bounty payment, all of the following conditions must be satisfied:
- The Referrer submitted the candidate through the Platform prior to any independent contact between the candidate and the Employer
- The candidate was not already known to or in the pipeline of the Employer at the time of submission, as determined by Shortlist in its reasonable discretion
- The candidate has been confirmed as a Successful Hire by the Employer
- The Referrer has provided valid payment information to Shortlist
- The Referrer is not the same individual as the referred candidate
4.4 Payment Timing
Bounty payment timing varies by Employer and is contingent upon conditions set forth by that Employer, which may include factors such as the candidate's start date, completion of a minimum employment period (e.g., 60 days of active employment), or satisfaction of any applicable vesting or retention requirements.
Shortlist will initiate payment to the Referrer within 30 days of receiving the bounty payment from the Employer. Shortlist is not obligated to pay a Referrer until it has received cleared funds from the Employer, and Shortlist shall not be liable for any delays caused by the Employer's payment timeline or conditions.
4.5 Disputes
If you believe a bounty payment has been incorrectly withheld or calculated, you must notify Shortlist in writing at operations@getpin.xyz within 30 days of the expected payment date. Shortlist's determination following good-faith review shall be final.
4.6 Referral Program Changes
Shortlist reserves the right to modify, suspend, or discontinue the referral program or bounty structure at any time, with or without notice. Changes will not apply retroactively to referrals already confirmed as a Successful Hire prior to the effective date of the change.

6. Intellectual Property
All content on the Platform, including but not limited to text, graphics, logos, and software, is the property of Shortlist or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any Platform content without our prior written consent.
7. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
SHORTLIST DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.
SHORTLIST IS NOT A STAFFING AGENCY, EMPLOYER OF RECORD, OR PARTY TO ANY EMPLOYMENT RELATIONSHIP BETWEEN A JOB SEEKER AND AN EMPLOYER.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHORTLIST, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SHORTLIST'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID TO YOU BY SHORTLIST IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
9. Indemnification
You agree to indemnify, defend, and hold harmless Shortlist and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform
- Your violation of this Agreement
- Any information you submit to the Platform
- Your violation of any rights of a third party
10. Dispute Resolution & Arbitration
10.1 Informal Resolution
Before initiating any formal dispute, you agree to first contact Shortlist at operations@getpin.xyz and attempt to resolve the dispute informally for at least 30 days.
10.2 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to this Agreement or the Platform shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules (available at www.adr.org). The arbitration shall be conducted in New York, New York, or via videoconference if mutually agreed.
PLEASE READ CAREFULLY:
YOU AND SHORTLIST EACH WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
10.3 Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Nothing in this section prevents either party from pursuing claims in small claims court for eligible disputes.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Subject to the arbitration clause above, you consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York for any dispute not subject to arbitration.
12. Modifications to This Agreement
Shortlist reserves the right to update or modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on the Platform and, where practicable, by sending an email to the address associated with your account. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Agreement.
13. Termination
Shortlist may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us at operations@getpin.xyz.
Upon termination, all provisions of this Agreement that by their nature should survive will survive, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.
14. Miscellaneous
- Entire Agreement: This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Shortlist with respect to the Platform and supersedes all prior agreements.
- Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Shortlist's failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
- Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent. Shortlist may assign this Agreement freely.
- Notices: All legal notices to Shortlist should be sent to: Mulu Fitness, Inc. d/b/a Shortlist, 45 E 20th Street, New York, NY 10003, Attn: Legal.
